Job Description

The opportunity:

This is an opportunity to support the VP, General Counsel – Corp. & Corporate Secretary related to the Company’s corporate governance initiatives. The successful individual will be effective interacting with employees at all levels inside the organization in a fast pasted and dynamic environment.

You are great at:

• Maintaining corporate records, including preparing and updating lists of legal entities and corporate structure charts.
• Preparing the necessary forms and documents for required filings such as annual returns, notice of change and miscellaneous corporate forms for the Company and its North American subsidiaries.
• Preparing documentation and forms as required for the incorporation, amendment, amalgamation, dissolution, business name filings, extra-provincial, state, and foreign qualification filings.
• Attending to execution of documents, including POAs.
• Preparing and coordinating with other internal departments material for shareholders’ meetings including proxy materials.
• Completing corporate filings, including insider reporting activities and other continuous disclosure obligations in the US and Canada.
• Preparing minutes and resolutions relating to ordinary course matters, such as annual approvals and internal reorganizations.
• Coordinating with other internal departments, including treasury and tax, and external service providers including outside counsel and agents.
• Assisting on drafting responsibilities for intercompany agreements.

What it takes:

• 5+ years of dedicated law clerk experience along with Law Clerk Diploma and ILCO membership
• Strong organization and follow-up skills. With the ability to juggle multiple priorities and projects.
• Excellent attention to detail and passion for accuracy.
• Strong ability to meet deadlines, proven effectiveness in delivering fast and accurate client service.
• Discrete professional approach with ability to work with confidential matters.
• Knowledge of SEDI filings.
• Capable of working independently and possess excellent written and verbal communications skills.
• Demonstrated proficiency in MS Office technology.
